This wholesale agreement is operated by Calmerceuticals. Throughout this document, the terms “we”, “us” and “our” refer to Calmerceuticals. By purchasing products from us at wholesale pricing, you (“the stockist”, “the retailer”, “you”) agree to be bound by the following terms and conditions (“Wholesale Terms”), including any additional policies referenced herein and/or provided in writing.

By creating a wholesale account with Calmerceuticals, you acknowledge that you have read, understood, and agree to these Wholesale Terms.

Please read these Wholesale Terms carefully before placing any order with us. By ordering stock, you agree to these Wholesale Terms. If you do not agree, you may not purchase or resell our products.

We reserve the right to update, change or replace any part of these Wholesale Terms by posting updates to our website or notifying you in writing. Your continued purchase of products following any updates constitutes acceptance of those changes.

SECTION 1 – ORDERS & PAYMENT

• Orders may be placed by phone, email, or through our wholesale portal.
  
• Minimum order quantity is 6 units.
  
• Payment terms are strictly as stated on your invoice.
  
• Late or missed payments may result in suspended or cancelled supply, and future orders may be placed on a pre-payment basis.
  
• We reserve the right to charge interest or recovery costs on overdue accounts where permitted by law.

SECTION 2 – PRICING & RRP

• Wholesale prices are confidential and must not be disclosed outside your business.
  
• You must not advertise or sell Calmerceuticals products below the Recommended Retail Price (RRP) set by us.
  
• Any breach of this condition may result in immediate termination of supply.
  

SECTION 3 – PRODUCT PACKAGING, STORAGE & RESALE

• Products must be stored in a clean, dry environment and displayed in a way that upholds brand standards.
  
• Products must be resold in their original packaging without alteration.
  

SECTION 4 – COMPLIANCE & LEGAL CLAIMS

• Stockists acknowledge that Calmerceuticals products are not registered with the Therapeutic Goods Administration (TGA).
  
• Products must not be promoted as medical or therapeutic treatments.
  
• Only official wording provided by Calmerceuticals may be used in marketing or promotional material.
  
• Stockists must not make any claims about the products outside of the approved wording provided.

SECTION 5 – DELIVERY & RISK

• Delivery dates are estimates only. Risk passes to you once goods are dispatched.
  
• Freight or shipping charges may apply unless otherwise agreed.
  

SECTION 6 – RETURNS & CLAIMS

• We do not accept returns for change of mind.
  
• Claims for damaged or faulty goods must be made in writing within 7 days of receipt.
  
• Returns will not be accepted without prior written approval.
  

SECTION 7 – BRAND USE, MARKETING & ONLINE SALES

• Our trademarks, product images, and marketing materials remain our property and may only be used in line with our brand guidelines.
  
• Any promotional campaign (including seasonal offers such as Black Friday, Christmas, or similar) must have our prior written approval.
  
• Products may not be sold online without our prior written consent.
  

SECTION 8 – TERMINATION OF SUPPLY

We reserve the right to suspend or terminate supply at our discretion if you fail to comply with these Wholesale Terms, including failure to pay invoices on time, selling below RRP, breaking down product packs, making unapproved claims, or selling online without permission.

SECTION 9 – FORCE MAJEURE & LIMITATION OF LIABILITY

• We will not be liable for any delay or failure to perform our obligations caused by events beyond our reasonable control (including but not limited to natural disasters, pandemics, transport disruptions, strikes, accidents, or supply chain interruptions).
  
• To the maximum extent permitted by law, our liability is limited to the replacement of goods or refund of the purchase price paid for the goods in question. We are not liable for any indirect, incidental, or consequential loss.
  

SECTION 10 – GOVERNING LAW

These Wholesale Terms shall be governed by and construed in accordance with the laws of Australia.

SECTION 11 – CONFIDENTIALITY

• All wholesale pricing, supply terms, and communications between you and Calmerceuticals are strictly confidential.
  
• This information must not be shared with competitors or third parties without our prior written consent.
